1. About these terms
These Terms of Service (the "Terms") govern your access to and use of the Riviot Vio Vetting Platform (the "Platform") provided by Riviot LLC ("Riviot", "we", "us"), a Delaware limited liability company at 16192 Coastal Hwy, Lewes, DE 19958, USA.
By creating an account or using the Platform, you agree to these Terms.
2. Definitions
- "Talent" — a candidate using the Platform to be assessed for and matched with employer roles.
- "Employer" — an organisation using the Platform to define roles and access matched talent.
- "User" — Talent or an authorised representative of an Employer (Employer Admin or Hiring Manager).
- "Matching Engine" — Riviot's deterministic and AI-augmented system that scores Talent against Employer roles.
- "Vio" — the AI-assisted vetting agent operating within the Platform.
- "Placement" — an engagement (permanent, contract, fractional, or advisory) entered into between an Employer and Talent introduced through Riviot, within 12 months of introduction.
3. Eligibility and accounts
You must be at least 18 years old and legally able to enter into binding agreements. You agree to provide accurate, complete information and to keep it up to date. You are responsible for keeping your account credentials secret and for all activity under your account.
4. Talent terms
- The Platform is free for Talent to use, including the assessment, scorecard, improvement plan, and matched-opportunity surfacing.
- You retain ownership of all content you submit. You grant Riviot a worldwide, royalty-free licence to use that content solely to operate the Platform, score your assessment, and surface you to consenting Employers.
- You acknowledge that the assessment process and admission decisions are evidence-led and discretionary. Riviot does not guarantee admission, matches, introductions, or hiring outcomes.
- You control your visibility through the Account → Visibility settings. Riviot will not share your profile with Employers outside the visibility you set.
5. Employer terms
- Employers subscribe to a plan as set out on our pricing page. Subscriptions auto-renew until cancelled.
- Employers also pay a placement fee of 15% of first-year compensation for each Placement made through Riviot. Day rates are annualised at 220 working days.
- Placement fees are invoiced upon a candidate moving to PLACED status in your pipeline. Payment terms: 30 days net.
- For permanent hires, a 90-day replacement guarantee applies — if the placed candidate departs within 90 days for cause, Riviot will source a replacement at no additional placement fee.
- Employers must not contact Talent introduced through Riviot through other channels with the intent to circumvent the placement fee within 12 months of introduction. Such circumvention will result in the placement fee remaining payable.
- Employers are responsible for their own employment, immigration, tax, and compliance obligations toward Placements.
6. Acceptable use
You agree not to:
- misrepresent your identity, qualifications, or organisation;
- scrape, harvest, or systematically extract data from the Platform;
- reverse-engineer the Matching Engine or Vio;
- use the Platform to advertise services unrelated to talent vetting or hiring;
- use the Platform in violation of applicable law, including anti-discrimination law;
- upload malware or attempt to circumvent access controls.
7. Intellectual property
The Platform, including the Matching Engine, the VIO-10 framework, the four indices (IEI, EDR, OCS, CRI), Vio, the Riviot brand, and all related technology, are owned by Riviot. We grant you a limited, non-transferable, revocable licence to use the Platform per these Terms. No other rights are granted.
8. Confidentiality
Each party will treat as confidential any non-public information disclosed by the other in connection with the Platform. Talent assessment data is confidential between you, Riviot, and consenting Employers. Employer pipeline data is confidential between the Employer and Riviot.
9. Termination
You may terminate your account at any time from your account settings. Riviot may suspend or terminate accounts that breach these Terms or where required by law. Sections that by their nature should survive (IP, confidentiality, fees owed, liability) survive termination.
10. Disclaimers
The platform is provided "as is" and "as available". Riviot disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Riviot does not warrant that the platform will be uninterrupted, error-free, or that AI-generated content will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, Riviot's aggregate liability arising out of or related to these Terms is limited to the amounts paid by you to Riviot in the 12 months preceding the claim. Riviot is not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost revenue, lost opportunity, or business interruption.
12. Indemnification
You agree to indemnify and hold Riviot harmless from claims arising from your breach of these Terms, your misuse of the Platform, or your employment of any Talent.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration in Wilmington, Delaware, except that either party may seek injunctive relief in court for IP infringement or breach of confidentiality.
If you are a consumer in the EU/UK, mandatory consumer protection rights of your country of residence apply.
14. Changes to these terms
We may update these Terms. Material changes will be notified by email at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
